Going concern and the audit

Unmodified (unqualified) audit opinion from PKF Littlejohn LLP (senior statutory auditor David Thompson); auditor concluded no material uncertainties casting significant doubt on going concern. Key audit matters were (1) recoverability of investment in subsidiary and intercompany receivable (parent company) and (2) carrying value of intangible assets and goodwill. Going concern is based on Board-approved forecasts to June 2027 and is conditional on shareholder approval of a June 2026 placing/Directors' subscription raising £400,000 (before expenses) at a general meeting on 7 July 2026.
