After the year end

17 February 2026: Landpad Pte Limited, wholly owned by Patrick Joseph Hughes (owner of Valencia Waste Management), completed acquisition of 100% of SIMEC UK Energy Holdings Limited (SUEH) from the SIMEC Group, becoming indirect owner of 214,538,827 ordinary shares (29.6% of the Company); the Relationship Agreement with SUEH continues unaffected, including its right to appoint two directors

Going concern and the audit

Directors adopted the going concern basis for a period to 30 June 2027, despite a net current liabilities position of £12.0m and net loss of £13.938m, citing a proposed sell-down of a minority equity interest in the AW1 BESS for consideration in excess of £7.0m and potential to dispute an EU grant clawback of £4.1m as key mitigants. Auditor Nexia Singapore PAC (engagement partner Chua Soo Rui) issued an unmodified opinion dated 26 June 2026, with three Key Audit Matters: going concern, impairment of property, plant and equipment (£3.357m impairment recognised), and valuation of investment property (£12.759m fair value loss).

page 42
The risks it names first
  • Going concern dependent on completing a minority equity sell-down of AW1 (consideration in excess of £7.0m) and successfully disputing/negotiating a potential £4.1m EU historical grant clawback, against a £12.0m net current liabilities positionp.43
  • NESO Grid Reform process creates uncertainty across all UK battery storage projects, particularly around the timing of grid connections, which has been incorporated into project valuationsp.24
  • MeyGen's Scottish Enterprise Tranche A, B and C loans and Crown Estate Scotland loan were in default at 31 December 2025; the Company provides a parent guarantee over £3.8m of the Tranche B loanp.75
  • Concentration of construction/counterparty risk through key supply chain and financing partners: Canadian Solar SSES (battery supply), Jones Bros (civil contractor), EDF (long-term optimisation), and Nord/LB (project debt)p.14
