Going concern and the audit

Financial statements prepared on a going-concern basis but with a material uncertainty disclosed: Group net current liabilities of €4,027,521 (including €3,460,200 of deferred Director/former-Director remuneration) cast significant doubt on the Group's and Company's ability to continue as a going concern. The auditor (Deloitte Ireland LLP, signed by David Boyle, 25 November 2025) gave an unmodified/unqualified opinion (true and fair view, properly prepared) but drew attention to the material uncertainty related to going concern in an emphasis-of-matter-style paragraph; key audit matters were (1) going concern and (2) recoverability of intangible exploration assets and valuation of investment in subsidiaries.

page 19
The risks it names first
  • Going concern — material uncertainty due to net current liabilities of €4,027,521 (Group) including €3,460,200 of deferred Director remuneration, dependent on continued Director/former-Director forbearance and ability to raise further finance.p.9
  • General industry risk — global gold prices, government/environmental regulation, permits and licences, and ability to raise financing.p.16
  • Environmental and climate-change legislative risk potentially increasing compliance costs and capital expenditure.p.16
  • Exploration risk — inherently speculative drilling outcomes; possible uneconomic results even where gold is found; resource estimates include substantial undeveloped proportions.p.16
