The dividend

Progressive dividend policy. Interim dividend of 18.5p paid April 2025 (2024: 18.0p); Board recommends final dividend of 18.5p (2024: 18.0p), bringing full-year dividend to 37.0p (2024: 36.0p), a 2.8% increase. Proposed final dividend to be paid 3 November 2025 to shareholders on the register at 26 September 2025 (ex-dividend 25 September 2025); not provided for in these financial statements as not approved before year end.

Going concern and the audit

Directors adopted the going concern basis; cash of £23.3m at 31 May 2025 plus an undrawn £12m invoice discounting facility with Santander (committed to 31 October 2026) support a reasonable expectation of adequate resources for at least 12 months. Auditor (PwC, signed by Jonathan Greenaway) issued an unmodified/unqualified opinion that the financial statements give a true and fair view, identified no material uncertainty regarding going concern, and reported three key audit matters: valuation of Blindwells land inventory, judgement on HS2/Sizewell C contract revenue and provisions, and risk of impairment to parent company investments in subsidiaries. Overall group materiality was £2,644,000 (1% of revenue); company materiality £1,940,000 (1% of total assets).
