Following an FCA Voluntary Requirement (VReQ) imposed on JIM in September 2022, the firm sold its retail execution-only brokerage client book to Interactive Investor Services Limited (completed 8 July 2025) and the Group is now in a managed wind-down, intending to become an AIM Rule 15 cash shell and seek cancellation of its AIM listing.

Jarvis Securities, a stockbroking and share-account administration group, reported revenue of £17.9m and profit before tax of £3.0m, against £13.1m and £5.2m the year before. The two periods are not directly comparable: this report covers the 18 months to 30 June 2025, while the previous one covered 12 months.

Profit fell mainly because of a one-off charge of £2,831,848 set aside to compensate customers over a historic rule breach and interest on client money, plus the cost of a regulator-required review and of selling the business. Falling interest rates, fewer clients and price competition from larger rivals also hurt.

Cash at the period end was £6.4m and the group has no borrowings. Dividends for the period totalled 6.75p per share; no final dividend is proposed. After the period end, the retail client book was sold to Interactive Investor for an initial £9m and a special dividend of 2.90p was paid. The group is being wound down, so the accounts are not prepared on the usual basis that the business will carry on. Directors intend to seek cancellation of the AIM listing and return distributable reserves to shareholders.

The dividend

Historically a progressive quarterly dividend policy; quarterly interim dividends totalling 6.75p per share were paid in the 18 months to 30 June 2025 (year to 31 December 2023: 8.75p). A special dividend of 2.90p per share was declared on 31 July 2025 and paid 3 September 2025 (post period-end). No final dividend is proposed by the board. The Board reviews dividend capacity quarterly, constrained by JIM's VReQ restriction on upstreaming dividends to the parent.
