OptiBiotix Health makes natural ingredients and supplements aimed at weight control, gut health and cutting sugar. In the year to 31 December 2025 its sales rose to £1.2m (+34.0%) from £870k the year before, but its loss after tax widened to £3.9m from £1.8m. The company kept more of each pound of sales because it sold a better mix of products and controlled costs. The bigger loss came mainly from a large non-cash charge for shares and options awarded to staff. A fall in the value of its stake in SkinBioTherapeutics, another listed company it helped set up, added to the loss. It ended the year with £1.0m in cash and no borrowings, after raising £750k from shareholders. No dividend was paid. Management reported record orders of more than £800k in the first weeks of 2026 and expects cost cuts to move the business towards profit. The auditor raised no doubt about the company's ability to keep going. However, trading in SkinBioTherapeutics shares was suspended in March 2026 after an investigation into that company's former boss.

    The dividend

No dividends were distributed for the year to 31 December 2025 (2024: nil). The CEO report notes the Group's equity stakes in SBTX and PBX 'provide opportunities to realise value through the sale of shares or the potential of an ad hoc dividend return to shareholders.'

    Going concern and the audit

Auditor Gerald Edelman LLP issued an unmodified opinion that the financial statements give a true and fair view and were properly prepared under UK adopted International Accounting Standards and the Companies Act 2006; two key audit matters were identified (carrying value of intangible assets — development costs and patents; and carrying value of the parent company's investments), on both of which the auditor concluded no impairment was required. Going concern basis adopted: Directors reviewed cash and a 12-month cashflow forecast, noting 2026 revenue is tracking as anticipated and citing post-year-end share sales (net proceeds £787,000 and a further £673,000) and potential disposal of listed investments as downside mitigants; no material uncertainty was identified by the auditor.
