Sixty seconds on the FY2025 report

Portmeirion Group, which owns homeware brands such as Spode, Royal Worcester and Nambé, had sales of £91.1m in 2025, almost unchanged from £91.2m the year before. But it went from a small profit before tax of £45k to a loss before tax of £7.2m. The report blames US tariffs, which disrupted sales in North America. It also points to higher UK energy, National Insurance and wage costs, partly from making more products at its Stoke-on-Trent factory. On top of this came a one-off £2.9m charge to write down old and second-quality stock, plus restructuring costs. Cash fell to £6.5m from £10.9m, while borrowings rose to £24.0m. No money was raised from shareholders, and there was no dividend for 2025, against 1.50p for 2024. Management said sales in early 2026 were ahead of last year but warned the economy remains uncertain. The auditor signed off the accounts but flagged a "material uncertainty" over whether the company can keep going, because a sharper fall in sales could break the conditions on its bank loans.

    What management said

Return to growth in Q1 2026 with revenue at end of March ahead of last year, with the US and International markets showing growth; good initial progress against the 'Elevating Portmeirion' strategic priorities (fortress balance sheet, focused expansion, excellence everywhere)

    page 2
    After the year end

April 2026: RCF facility amendment agreed with Barclays extending maturity to October 2027 and waiving/revising covenants for March and April 2026

    page 107
    The dividend

No interim or final dividend was paid or proposed for 2025 (2024: 1.50p total). The Board has prioritised growth and net debt reduction ('Fortress Balance Sheet') over dividends, intending to pay dividends from a position of strength and from the earnings of a well-invested business once this is achieved

    Going concern and the audit

Auditor Forvis Mazars LLP gave an unmodified audit opinion but included a 'Material Uncertainty Related to Going Concern' paragraph: under a severe-but-plausible downside scenario (7.5% revenue reduction) mitigating actions would be required to remain within the revised Barclays RCF/ABL covenants (EBITDA and Asset Cover), and a reverse stress test shows only a 9.5% revenue decline could be absorbed before a covenant breach from April 2026. Key audit matter: inventory valuation (60% of current assets), given the £2,952,000 additional one-off inventory provision and judgemental absorption costing
