FY25 was described as a foundational, early-stage commercial year, with revenue of £174,174 generated from project-based services, technology/data services (SaaS) and media/marketing services.

Pri0r1ty Intelligence Group plc builds AI-powered software and data services, mainly for sports and entertainment. In the year to 30 September 2025, revenue rose to £174k from £6k, but the loss after tax widened to £10.3m from £594k. Most of that loss came from one-off charges rather than day-to-day trading. The company joined the stock market through a reverse takeover, where a private business takes over an already-listed company. This brought a non-cash charge of £7,039,029. The company also wrote down the value of Halfspace, a sports data agency it bought in July 2025. Management said product development took longer than expected. The year ended with £796k in cash and borrowings of £33k, after £2.2m was raised from shareholders. No dividend was paid. Management said contracted revenue was above £0.4 million seven months into the new year. The auditor did not qualify its opinion. It did draw attention to a material uncertainty over whether the company can keep going, because it needs about £1.25m of extra funding, which the directors expect to secure.

    Going concern and the audit

Financial statements prepared on a going concern basis despite a material uncertainty: the Group has had recurring losses since incorporation and requires additional funding (c.£1.25m) which Directors expect to secure, anticipated in Q2 2026, to meet working capital commitments. The auditor (PKF Littlejohn LLP) issued an unmodified/unqualified opinion but drew attention to this material uncertainty related to going concern in a dedicated section of its report; comparative figures for the period ended 30 September 2024 were not audited. Key audit matters: accounting for the reverse takeover, the Halfspace acquisition (PPA and goodwill impairment), revenue recognition, and impairment of the parent company's investment in subsidiaries/intercompany receivables.

    The risks it names first

    • Artificial intelligence and model performance risk — AI models may not perform as expected, produce inaccurate/biased outputs, or degrade over timep.8
    • Reliance on third-party AI infrastructure and platforms, including cloud/data service providersp.8
    • AI regulation, ethics and governance risk — evolving regulatory landscape could increase compliance costs or restrict AI deploymentp.8
