Rosslyn Data Technologies sells cloud software that helps large companies understand what they spend with suppliers. In the year to 30 April 2026, revenue was £3.0m, down 1.6% on the year before, and the loss after tax widened to £2.9m from £2.7m. The company earned more on each sale, mainly because it paid less to host its software and stopped renewing small, low-value contracts, although some customers left. Redundancies cut running costs. But the bottom line was pushed down by one-off restructuring costs and a paper loss on the value of its convertible loans (loans that can be swapped for shares). Cash fell to £786k from £1.7m. Borrowings, in the form of those convertible loans, were £753k, and £878k was raised by selling new shares. There is no dividend. Management says it has a solid pipeline of potential new business and expects to meet market expectations, while keeping costs tight. The auditor flagged a "material uncertainty" over whether the company can keep going, as forecasts rely on raising more money.

    Going concern and the audit

Auditor (S&W Audit) issued an unmodified opinion but included a 'Material uncertainty related to going concern' emphasis: group and parent incurred net losses of £2,910,000 and £2,582,000 respectively; group's current liabilities exceeded current assets by £642,000 and parent's net current assets were £2,441,000; cash flow forecasts to April 2028 indicate reliance on additional financing. Directors consider going concern basis appropriate after enquiries, but note limited headroom and material uncertainty. Key audit matters: revenue recognition, cashflow projections/going concern/intangible assets/inter-company receivables, capitalisation of intangible assets, and convertible loan notes.
